Third Party Notices

Layer IQ integrates data from multiple categories of third-party providers into the Layer IQ platform to deliver comprehensive insights and analytics to our users. Certain data available within the Layer IQ Service originates from external sources and is subject to the applicable terms, restrictions, and conditions imposed by those providers.

By accessing and using the Layer IQ Service, you agree to comply with the applicable terms and conditions for each third-party data provider whose data you access or use. These Third Party Notices are incorporated by reference into the Layer IQ Terms of Service, specifically the Third Party Data and Data Provider Terms section. In the event of a conflict between these notices and the Layer IQ Terms of Service, these Third Party Notices shall govern your use of the specific third-party data in question.

Scope and purpose

Layer IQ integrates data from multiple categories of third-party sources, including licensed data providers, publicly available sources, and marketplace platforms. Each data provider may impose specific requirements and restrictions on how their data may be used within the Layer IQ platform and beyond.

Your compliance obligations

By using the Layer IQ Service, you agree to:

• Comply with all applicable terms, conditions, and restrictions listed on this page for each third-party data provider whose data you access or use
• Not circumvent or attempt to circumvent any use restrictions, attribution requirements, or access controls
• Cease use of any provider's data immediately upon suspension or termination of your Layer IQ access
• Indemnify Layer IQ for any breach of third-party data provider terms attributable to your actions

Updates to this page

Layer IQ may update this page at any time to add new data providers or data sources, modify the terms or restrictions applicable to existing providers, remove data providers or end access to specific data sources, or update contact information or other administrative details.

Material changes to provider terms that substantially restrict your ability to use data within the Layer IQ platform will be communicated to you via email or an in-service notification at least 30 days before becoming effective, unless legally required otherwise.

Continued use of the Layer IQ Service after any updates to this page constitutes your acceptance of the updated terms. If you do not agree to updated terms, your sole remedy is to discontinue use of the affected data or the Layer IQ Service.

Category A: Licensed data providers

Layer IQ has entered into direct licensing agreements with the following data providers. Data from these providers is subject to specific use restrictions, intellectual property protections, and attribution requirements. These restrictions are binding on all Layer IQ users.

Tracenable (Datacie Ltd)

Description: Tracenable provides environmental and sustainability data for information technology assets, enabling organizations to understand the circular economy impact, supply chain sustainability, and lifecycle environmental metrics for IT hardware and components.

Data scope: Within the Layer IQ platform, Tracenable data includes environmental impact metrics, sustainability ratings, lifecycle assessment information, material composition data, and end-of-life disposal options for IT equipment and related assets. This data is integrated into Layer IQ's asset intelligence, sourcing recommendations, and sustainability reporting features.

Required attribution: Whenever Tracenable data is displayed, analyzed, or presented to you within the Layer IQ platform, the following attribution must be visible: "Source: Tracenable" with a hyperlink to https://tracenable.com.

Use restrictions:

• In-platform use only: Tracenable data may be viewed, analyzed, and used within the Layer IQ platform for your internal business activities only.
• No bulk export: You may not perform bulk downloads, exports, scraping, systematic extraction, or automated collection of Tracenable data.
• No redistribution: You may not redistribute Tracenable data as a standalone dataset, as a substitute for Tracenable's own service, or in a format that could be used independently of the Layer IQ platform.
• Subscription requirement: Access to Tracenable data requires a paid Layer IQ subscription. Free trial access to Layer IQ may be limited or excluded from Tracenable data access.
• No competitive use: You may not use Tracenable data to develop, create, or maintain a product or service that competes with Tracenable or any service offered by Datacie Ltd.

Permitted usage. As an authorized user ("User") of a product or service provided by a Client of Tracenable, you may access and use the data made available to you, which originates from Tracenable ("Data"), primarily for your internal business activities, such as internal analysis, research, planning, strategy development, or decision-making. Direct external distribution of, or granting third-party access to, raw or substantial portions of the Data is strictly prohibited. However, you are permitted to create your own documents, reports, analyses, presentations, or similar materials ("User Materials") that incorporate Insubstantial Portions of the Data (meaning minimal and incidental amounts of Data that do not have independent commercial value and cannot substitute for the Data itself). These User Materials may be used for your internal purposes and, where expressly permitted by your agreement with the Tracenable Client through whom you access this Data, may also be shared externally. Any other reproduction, redistribution, public display, public performance, creation of derivative works from the Data (beyond the User Materials described above containing Insubstantial Portions), or any commercial exploitation or resale of the Data itself, is strictly prohibited unless you or the Tracenable Client have obtained prior express written permission from Tracenable. You may not use the Data in any way that is unlawful, or to develop a service or product that competes with Tracenable.

Intellectual property rights. Tracenable owns and retains all rights, title, and interest in and to the Data, including but not limited to copyrights, trademarks, patents, database rights, trade secrets, know-how, and all other intellectual property rights worldwide. The Data constitutes confidential and proprietary information, as well as trade secrets, of Tracenable. Users are not granted any proprietary interest in the Data.

Attribution requirements. Any use, display, or distribution of the Data must include a clear and visible attribution to Tracenable as the source of the underlying Data. The attribution must follow the format: "Source: Tracenable" with a hyperlink to https://tracenable.com.

Modifications or removal of data. Users acknowledge that access to certain elements of the Data may cease or be modified at Tracenable's discretion. Upon the termination or expiration of this user license, all rights granted shall immediately end. Users must cease using the Data and delete or destroy any copies in their possession or control.

Disclaimer of warranties. TRACENABLE DOES NOT WARRANT THAT ACCESS TO OR PROVISION OF THE DATA WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, COMPLETE, OR ACCURATE, NOR DOES TRACENABLE MAKE ANY WARRANTIES AS TO THE RESULTS OBTAINED FROM THE USE OF THE DATA. USERS ASSUME ALL RISK FOR THEIR USE OF, AND RELIANCE ON, THE DATA. TRACENABLE WILL NOT BE LIABLE TO ANY USER OR ANY OTHER ENTITY FOR INABILITY TO USE THE DATA OR FOR ANY INACCURACIES, ERRORS, OMISSIONS, DELAYS, COMPUTER VIRUSES, OR OTHER INFIRMITIES ARISING OUT OF OR IN CONNECTION WITH THE DATA. Rejoose (Rejoose ApS)

Description: Rejoose provides Life Cycle Assessment (LCA) carbon intelligence data for IT assets, including aggregated total emissions, refurbishment impact, avoided emissions, product weight, and lifecycle-phase-level emissions breakdowns. Rejoose data supports ESG reporting, sustainability analysis, and carbon intensity assessments within the Layer IQ platform.

Data scope: Within the Layer IQ platform, Rejoose data includes carbon footprint metrics (aggregated and lifecycle-phase-level), refurbishment impact data, avoided emissions calculations, avoided e-waste metrics, material/metals composition data, and ongoing lifecycle tracking for IT assets. Rejoose offers two product tiers (e.product and e.product+), both of which may be integrated into Layer IQ's carbon intelligence, Certificate creation, and sustainability reporting features.

Required attribution: Where Rejoose LCA data is the primary data source for a displayed metric, Layer IQ will include an appropriate attribution to Rejoose as the data provider.

Use restrictions:

• In-platform use only: Rejoose LCA data may be viewed, analyzed, and used within the Layer IQ platform for your internal business activities only.
• No redistribution: You may not redistribute, resell, or engage in any form of distribution of the underlying LCA data, including any data derived from or based on Rejoose LCA data obtained through the Layer IQ platform.
• No competitive use: You may not use Rejoose data to develop, create, or maintain a product or service that competes with Rejoose or any service offered by Rejoose ApS.
• Value-add permitted: Layer IQ may overlay, enhance, or combine Rejoose LCA data with additional datasets to provide value-added services. You may use such combined analytics within the Layer IQ platform.
• Chargeable events: Submission of an IT asset for LCA processing constitutes a chargeable event upon a successful API response from Rejoose. Assets for which the API returns an error are not billable and may be corrected and resubmitted.

Methodology. Rejoose LCA data is generated using industry-standard methodologies, reasonable assumptions, and commercially reasonable processes consistent with generally accepted lifecycle assessment practices. Rejoose does not warrant the accuracy, completeness, or correctness of data, disclosures, declarations, or specifications provided by original equipment manufacturers, suppliers, or other third-party data sources used as inputs to LCA calculations.

Not legal or regulatory advice. Rejoose LCA data is intended to support ESG reporting, sustainability analysis, and internal decision-making. The data does not constitute legal advice, a regulatory guarantee, or a certification of compliance with any specific law, regulation, or reporting obligation. Responsibility for regulatory interpretation, disclosure, and filing remains with the end user.

Category B: Publicly available and no-fee data sources

Description: Layer IQ collects and processes data from publicly available sources that are freely accessible to the general public. These sources include public marketplaces, government databases, industry publications, regulatory filings, academic sources, and other unrestricted information available online.

Data collection methods: This data is collected through both automated means (including web scraping, API integrations, and AI-assisted collection) and manual research conducted by Layer IQ staff.

Applicable terms: No specific third-party provider terms apply to publicly available data sources. However, your use of this data within the Layer IQ platform remains subject to the Layer IQ Terms of Service and all applicable laws.

Important note: While the underlying data is publicly available, Layer IQ's processing, aggregation, analysis, and presentation of this data constitutes Layer IQ's proprietary derivative work. Users may not attempt to reconstruct, reverse-engineer, or extract the raw underlying data from Layer IQ's platform or analytical outputs in a way that recreates Layer IQ's proprietary methods or data compilation.

Category C: Marketplace and platform integration data

Description: Layer IQ integrates with third-party marketplaces and online platforms to obtain real-time and historical pricing, availability, product information, and market data. These integrations enable Layer IQ to provide current market intelligence and benchmarking capabilities.

Data sources and compliance: Your access to and use of data derived from third-party marketplaces and platforms is conditioned upon your compliance with those platforms' Terms of Service, API terms, and data usage policies.

Layer IQ's use and processing: Layer IQ does not redistribute raw marketplace data. All marketplace data is processed, aggregated, cleaned, and incorporated into Layer IQ's proprietary analytics and intelligence features. Users access this data only through Layer IQ's analytical interfaces and reporting tools, not as raw marketplace data.

Compliance obligation and enforcement

You acknowledge that your compliance with all applicable third-party data provider terms is a material condition of your right to use the Layer IQ Service. Layer IQ reserves the right to monitor your use of third-party data for compliance, suspend or terminate your access if Layer IQ reasonably believes you are violating third-party provider terms, modify your access or impose additional restrictions if required by a data provider, and cooperate with data providers in investigating suspected violations.

Indemnification

You agree to indemnify, defend, and hold harmless Layer IQ from any claims, damages, costs, liabilities, and expenses arising out of your violation of any third-party data provider's terms, your unauthorized use or redistribution of third-party data, or any claim by a third-party data provider alleging breach of their rights. This indemnification obligation is in addition to any other indemnification provisions in the Layer IQ Terms of Service.

Limitation of liability

Layer IQ is not liable for inaccuracies, errors, omissions, or incompleteness of any third-party data; interruptions, delays, or unavailability of access to third-party data; changes, modifications, or removal of third-party data by the provider; or any indirect, incidental, special, consequential, or punitive damages arising from your use of third-party data.

Governing law

These Third Party Notices are governed by the same law and dispute resolution provisions as the Layer IQ Terms of Service. If a third-party data provider has specified its own governing law and jurisdiction in its published terms, those terms apply to disputes between you and the third-party provider.
